Terms of Service

These Terms of Service ("Terms") govern your use of the Guidecom platform, operated by Guidecom Inc ("Guidecom," "we," "us," or "our"). By installing or using the Guidecom application ("the App"), you ("Merchant," "you," or "your") agree to be bound by these Terms.


1. Service Description

Guidecom is a Shopify application that enables merchants to embed guided product configuration widgets on their online stores. The platform provides:

  • An embeddable widget that guides customers through compatible product selections
  • A compatibility rules engine that enforces product compatibility constraints
  • Automatic product categorization and catalog management tools
  • Analytics dashboards with conversion tracking and revenue attribution
  • Shopify discount functions for bundle pricing

2. Account Registration and Requirements

2.1 Eligibility

To use Guidecom, you must have an active Shopify store and agree to these Terms. You represent that you have the authority to bind your organization to these Terms.

2.2 Account Security

You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@guidecom.io if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

2.3 Shopify Connection

The App requires an active connection to your Shopify store via OAuth. You authorize Guidecom to access your Shopify store data within the permissions (scopes) requested during installation, which include: reading products, inventory, orders, and themes, and managing discounts. You may revoke this access at any time by uninstalling the App.


3. Subscription Plans and Billing

3.1 Plans

Guidecom offers subscription plans with varying feature limits, including limits on the number of products, categories, compatibility rules, and analytics data retention. Current plan details and pricing are available within the App.

3.2 Free Trial

New merchants receive a 14-day free trial. During the trial, you have access to all features of the selected plan. At the end of the trial, you must subscribe to a paid plan to continue using the service.

3.3 Billing

All billing is processed exclusively through the Shopify Billing API. Charges appear in your Shopify admin charge history. We do not collect or store your payment method details. You may upgrade or downgrade your plan at any time through the App without contacting support.

3.4 Plan Limits

Each plan includes limits on resources. If you exceed your plan limits, certain features may be restricted until you upgrade or reduce usage. We will provide clear notice when you approach or reach plan limits.


4. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of Shopify's terms of service
  • Attempt to circumvent billing, plan limits, or rate limits
  • Reverse engineer, decompile, or disassemble any part of the App
  • Use automated tools to scrape, crawl, or extract data from the App beyond its intended functionality
  • Interfere with or disrupt the integrity or performance of the App or its infrastructure
  • Share account credentials with unauthorized users or transfer your account without our consent
  • Use the widget to collect, store, or transmit personally identifiable information beyond what the App is designed to handle
  • Misrepresent the widget's functionality or present it as your own proprietary technology without attribution

5. Intellectual Property

5.1 Our Property

The Guidecom platform, including its software, design, documentation, and trademarks, is the property of Guidecom Inc. Your subscription grants you a limited, non-exclusive, non-transferable license to use the App for your business purposes during the term of your subscription.

5.2 Your Content

You retain all rights to your content, including product data, compatibility rules, categories, widget configurations, and analytics data. You grant us a limited license to host, process, and display your content solely to provide the service to you.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas, we may use them without obligation or compensation to you.


6. Data and Privacy

Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you acknowledge that you have read and agree to our Privacy Policy.

You are responsible for ensuring that your use of the App, including the widget displayed on your storefront, complies with applicable privacy laws and your own store's privacy policy. If you collect personal information from your customers, you must disclose the use of third-party services including Guidecom in your privacy policy.


7. Service Availability

7.1 Uptime

We strive to maintain high availability of the App but do not guarantee uninterrupted service. The App is hosted on Vercel's infrastructure, and availability is subject to their platform reliability. We will make reasonable efforts to notify you of planned maintenance.

7.2 Modifications

We reserve the right to modify, suspend, or discontinue any feature of the App at any time. For material changes that affect your use, we will provide at least 30 days' notice through the App.


8. Limitation of Liability

To the maximum extent permitted by law, Guidecom Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the App.

Our total aggregate liability for all claims arising from or related to these Terms or the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


9. Indemnification

You agree to indemnify and hold harmless Guidecom Inc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you submit through the App.


10. Termination

10.1 By You

You may terminate your use of the App at any time by uninstalling it from your Shopify store. Upon uninstallation, your access tokens are immediately revoked and your subscription is cancelled.

10.2 By Us

We may suspend or terminate your access to the App if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. We will provide notice and an opportunity to cure non-material breaches when reasonable.

10.3 Effect of Termination

Upon termination, your access to the App ceases immediately. Your data is retained for 48 hours following uninstallation to allow for reinstallation. After 48 hours, all your data is permanently deleted in accordance with Shopify's data protection requirements and our Privacy Policy.


11. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.


12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guidecom regarding the App.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

12.5 Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Guidecom dashboard at least 30 days before the changes take effect. Continued use of the App after the effective date constitutes acceptance of the revised Terms.
